Reporting to the Group General Counsel, the Legal Counsel is responsible for providing legal advice and support to the business with special focus on the Group ́s Fleet.

As a member of the Group Legal Team, the Legal Counsel will play a role in delivering a support service to the Regions and must effectively engage and deliver results across this diverse organisation and proactively keep abreast of precedents, best practices and legislative changes.

The selected person may be based in Lisbon (Portugal), Alicante (Spain), Rome or Colico (Italy).

Main responsabilities

• Provide legal advice and work close with the fleet, finance and supply chain teams for drafting and negotiating letters of intent, lease agreements, loan agreements, aircraft sale agreements and all ancillary documentation for aircraft lease, financing, asset finance and sale transactions including the required support to deliver all the conditions precedent as well as post completion requirements ensuring compliance with the Avincis contractual undertakings (PBH arrangements, ownership registrations, Cape Town...).
• Review, prepare, draft and negotiate a variety of bespoke and industry standard commercial agreements for the businesses, with special focus on fleet and asset agreements, including standard templates for fleet, framework agreements with OEMs, sale and purchase agreements of aircraft, dry and wet leases and MRO contracts.
• Develop and update precedents, procedures, policies and checklists to share best practice on legal matters across Avincis.
• Manage and mitigate legal risks by supporting the Group General Counsel in the follow up of the Compliance program, including to undertake research on legal issues and providing guidance and advice on new areas of law for the business as required.
• Provide support to business development projects, including M&A, partnerships and Joint Ventures.
• Manage litigation claims.
• Conduct online searches to assist with the implementation of Avincis ́ third party vetting process.
• Provide general support to legal and corporate duties.
• Manage external law firms as delegated by the Group General Counsel.
• Support the business in connection with trade control regulations.
• Advice on public, regulatory and trade law, including by providing support to the management in connection with the Civil Aviation Authorities.
• Drive a culture of professional excellence and agility.
• Keep abreast of legislative changes.
• Undertake such other tasks and provide such other assistance as the Group General Counsel may require.
• Ensure Company health, safety and environmental procedures are always implemented and complied with.
